Louder makes no representations that the materials in this site are appropriate or available for use in other locations. Those who choose to access this Web Site from other locations do so at their own risk and are responsible for compliance with any and all local laws, if and to the extent local laws are applicable. This agreement, and any dispute, which arises from and out of this Web Site, shall be construed with the laws of the state of Massachusetts. Any legal action regarding this agreement or this Web Site shall be brought only in either the State or Federal Courts located within Suffolk County, Massachusetts and by using this site you consent to personal jurisdiction within these courts.

  9. TERMINATION. Louder or you may terminate this Agreement at any time. You may terminate this Agreement by destroying all materials obtained from this Web Site. Louder may terminate this Agreement immediately without notice if, in its sole judgment, you breach any term or condition of this Agreement. Upon termination, you must destroy all materials obtained from this Web Site.
  10. INTEGRATION. This agreement constitutes the entire Agreement between you and Louder and supercedes any prior oral or written arguments, understandings, or other communications between parties. This Agreement may not be modified except in writing signed by both you and an authorized signatory of Louder.
  11. RETURN POLICY.? General Terms - Please note that all purchases are final. Some products are not returnable under any circumstances - please see the important exceptions outlined below. Unauthorized or Refused Returns - Louder will not accept unauthorized returns or exchanges. Packages without a Return Authorization Number will be refused upon return. Louder may impose a 25% restocking fee plus any applicable shipping charges for refused shipments by the customer. Additional charges may apply if the merchandise is not returned in 100% complete condition in the original, unopened packaging. Orders cannot be cancelled once they are placed. Defective Returns - Defective returns will be accepted for exchange or repair, at our discretion, within 30 days from the shipment date that we ship product to you. No refunds or credit will be granted after 30 days, the terms of the manufacturer's warranty apply. Please contact the manufacturer directly. Any return found to be non-defective, once our warehouse has inspected it, is subject to a restocking fee of 25% and all non-product-related fees (shipping) are not refundable.
  12. OTHER. The headings in this agreement are for reference purposes only and have no legal effect. If any portion of this agreement is void or unenforceable in whole or in part, the remaining provisions of this agreement shall remain in effect.
CONSENT AND RELEASE AGREEMENT FOR VIDEOS, MUSIC AND/OR ANY SUBMITTED MEDIA FROM USERS In exchange for promotional consideration and other good and valuable consideration, receipt of which is hereby acknowledged and intending to be legally bound, I hereby irrevocably grant, transfer and convey to Louder Group, LLC., its affiliates and licensees, the unlimited and unconditional right to use the enclosed material (collectively 'Material) in any and all formats, now known or hereafter developed. The rights hereby granted to Louder Group, LLC include the perpetual, exclusive and unencumbered right to use, edit, reproduce, publicly and privately perform, distribute, telecast, publish, promote, market and otherwise exhibit the Material, and any derivatives thereof, worldwide, including excerpts, in any and all forms of media, now known or hereafter devised including, but not limited to, cell phones, the Internet, broadcast, non-broadcast television, pay, cable and network television, satellite and close-circuit transmission, in-flight video, home entertainment in current and future formats, and printed transcripts. I hereby represent that I have obtained copies of release and consent forms from all individuals portrayed and performing in the Material which would allow me to grant to Louder Group, LLC all rights set forth herein. I further represent that the rights granted to Louder herein shall not infringe on any rights of any third party including, but not limited to, any copyright, trademark rights of any other intellectual property rights and that in the event that any copyright, trademark materials or other intellectual property rights are used and/or portrayed in the Material, I have obtained all necessary consents and releases from such copyright, trademark holders and other intellectual property rights which allow the actual or threatened, unrestricted use of those materials in the Material. I agree to Furnish copies of such consents and releases to Louder upon request. I hereby agree to defend, indemnify and hold Louder Group, LLC and its officers, directors and employees harmless from and against all damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or connected any actual or threatened lawsuit, claim or legal proceeding relating in any manner to the possession, distribution or use of the Materials by Louder. I further agree to release Louder Group, LLC and its successors, assigns, affiliates, officers, directors and employees from any claim or cause of action, whether now known or unknown, relating in any manner to the Materials including, but not limited to: (I) defamation, invasion of right to privacy, publicity or personality or any similar matter, (ii) any liability based on any use of the Material, or as a result of any exhibition, telecast, display, performance or distribution of the Material or any portion thereof; and (iii) any claim for consideration or compensation for the Material or the rights granted hereunder. I waive any right to inspect or approve uses of the Material. I also waive any 'moral rights' I may have in the Material. In addition, Louder shall not be responsible for any third-party fees including, without limitation, broker's, agent's or guild fees and /or commissions, in connection with this Agreement. This Agreement shall be construed and controlled by the laws of the State of Massachusetts without regard to conflicts of laws and principles.
